1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the websites, marketing pages, and related online properties operated by Tech & Toast: Uncorked ("we," "us," or "Operator"), including https://www.techntoastuncorked.com (collectively, the "Site"), the Tech & Toast Vineyard mobile application (the "App"), and your relationship with us in connection with membership and services described on the Site.
Paid membership, community features, courses, assessments, and workspace tools are delivered primarily through the Tech & Toast Vineyard Ecosystem, hosted on Mighty Networks ("MN Platform"). By accessing the Site, using the App, creating an account, submitting forms, or joining membership, you agree to these Terms and to our Privacy Policy, Cookie Policy, Community Guidelines, and Disclaimer, each incorporated by reference.
If you do not agree, do not use the Site, App, or membership services.
2. Who we are
Tech & Toast: Uncorked provides a membership-based growth ecosystem for ambitious professionals, entrepreneurs, and leaders under the Tech & Toast™ and Tech & Toast: Uncorked™ brands. Our services include educational content, frameworks, assessments (including the Vintage Member Assessment), personalized planning (including the Growth Pour Plan™), assignments (Pour Processes™), live experiences (Cultivate), community spaces, and optional use of the Tech & Toast Vineyard app for daily rhythm and reflection.

3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create an account, purchase membership, or enter into a binding agreement with us. By using our services, you represent that you meet this requirement and that the information you provide is accurate.
Our services are not directed to children under 13, and we do not knowingly collect personal information from children.
4. Accounts, membership, and the MN Platform
4.1 Membership
Membership tiers (including Foundation Pour™, Growth Pour™, and Reserve Pour™) and related benefits are described on the Site and within the Tech & Toast Vineyard Ecosystem. Features, pricing, and availability may change over time. Your specific plan, billing cycle, renewal, cancellation, and refund rights are governed by the checkout terms presented at purchase and by Mighty Networks' platform terms, in addition to these Terms.
4.2 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at techntoastuncorked@gmail.com if you suspect unauthorized access.
4.3 Third-party platform
The Tech & Toast Vineyard Ecosystem runs on Mighty Networks. Your use of MN-hosted features is also subject to Mighty Networks' terms and privacy policies. We are not responsible for outages, data handling practices, or policy changes solely attributable to the MN Platform, though we work to maintain a consistent member experience.
5. The Tech & Toast Vineyard app
The App is optional and, where offered, may be available at no additional charge to members or the public as described on the Site. App availability, features, and device requirements may change. If you download the App from Apple App Store or other marketplaces, additional platform terms apply.
We may update, suspend, or discontinue the App or any feature with reasonable notice where practicable. You are responsible for any carrier or data charges associated with your device.
6. Acceptable use
You agree not to:
- Violate any applicable law or third-party rights;
- Harass, threaten, defame, or discriminate against others;
- Share confidential information of others without consent;
- Upload malware, spam, or deceptive content;
- Scrape, crawl, or reverse engineer the Site, App, or MN Platform except as permitted by law;
- Misrepresent your identity, credentials, or affiliation;
- Use our services to provide professional advice (legal, medical, financial, tax, or investment) unless you are licensed and authorized to do so and clearly disclose that relationship;
- Resell, sublicense, or commercially exploit member-only materials without written permission.
Community conduct is further described in our Community Guidelines. We may suspend or terminate access for violations.
7. Intellectual property
7.1 Our content
The Site, App, logos, trademarks (including Tech & Toast™, Uncorked™, Growth Pour Plan™, Pour Processes™, Pitch & Pour™, Cultivate™, Cellar Concierge™, Legacy Vine™, and related marks), curriculum, frameworks, text, graphics, audio, video, and software are owned by or licensed to the Operator and protected by intellectual property laws. Except for limited personal use as a member, you may not copy, modify, distribute, or create derivative works without our prior written consent.
7.2 Your content
You retain ownership of content you submit in community spaces, forms, or assessments. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and use that content solely to operate, improve, and promote the services (for example, moderating community spaces or responding to support requests). You represent that you have the rights to submit such content.
7.3 Feedback
If you provide suggestions or feedback, we may use it without restriction or compensation to you.
8. Educational purpose — not professional advice
Our content — including courses, Journal articles, Pour Processes™, live sessions, assessments, and AI-related curriculum — is for educational and professional development purposes only. It does not create a client, fiduciary, employment, or professional services relationship. See our Disclaimer for additional limitations.
9. Payments, renewals, and cancellation
Paid membership fees are processed through Mighty Networks or other designated payment providers. By purchasing, you authorize charges according to your selected plan. Subscriptions may renew automatically unless canceled before the renewal date in accordance with the plan terms presented at checkout and the MN Platform's cancellation tools.
Except where required by law or expressly stated at purchase, fees are non-refundable once a billing period has begun. We do not guarantee specific business, career, or financial outcomes from membership.
10. Virtual and in-person experiences
Services are primarily virtual. From time to time we may offer live or in-person experiences. Participation is voluntary. You are responsible for your travel, safety, and compliance with venue rules. We may modify, reschedule, or cancel events; where feasible we will provide reasonable notice.
11. Disclaimers
THE SITE, APP, AND MEMBERSHIP SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS FOUNDERS, OFFICERS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR MEMBERSHIP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless the Operator from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the services, your violation of these Terms, or your violation of any rights of another person or entity.
14. Termination
You may stop using the services at any time and may cancel membership through the MN Platform where applicable. We may suspend or terminate access if you breach these Terms, create risk for us or other members, or as required by law. Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
15. Changes
We may update these Terms from time to time. We will post the revised Terms on the Site and update the "Last updated" date. Material changes may also be communicated through membership email or in-ecosystem notice where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of the state in which Tech & Toast: Uncorked maintains its principal place of business, without regard to conflict-of-law principles. Before filing a formal dispute, you agree to contact us at techntoastuncorked@gmail.com and attempt to resolve the matter informally within thirty (30) days.
Except where prohibited by law, any dispute not resolved informally will be brought in the state or federal courts located in that same state, and you consent to personal jurisdiction there. Your counsel should confirm the correct entity, venue, and whether alternative dispute resolution is appropriate for your business.
17. Miscellaneous
These Terms, together with the policies linked above, constitute the entire agreement regarding the Site and App. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
